Company’s Failure To Meet Fiduciary and Legal Obligations

Let me start off by saying I was going to file a complaint against this business brokerage with the State of Florida for their practices of not meeting their fiduciary responsibilities to potential buyers and their buesiness sellers. However as a business buyer. It just isnt worth my time or energy. Now to the experiences I had with Boss International Business Brokerage. I have read the reviews they have on Google. Owning a very successful online marketing agency. I find their reviews more than a little suspect. A term used in my industry is called shill reviews. These are basically reviews from friends, family and even paid for review services. Face it in business and life we all know you cant please everyone. So to have a perfect review rating seems very odd. As an example take a lot of reviews they have where the reviewer only has 1 review in their lifetime. This is not normal and very unusual. Enough about this let me detail my dealings with Boss International with Jim Parker and Chris Ververis. I am in the process of buying several businesses on International Drive in Orlando. Last one I purchased was just 7 days ago. I am a cash buyer and therefore need no financing which allows fewer problems and a shorter closing window. I saw a listing online for a business Boss International listed for sale and contacted the phone number on the listing. Over the course of the next 4 days I left multiple messages and never received a call back. On day 4 I finally received a text message stating that the business had closed. Well all businesses are closed on I Drive due to Covid 19. I replied by stating this fact and was wanting more information and got no response. Couple more days went by and I contacted Boss International office line. Spoke to a very nice lady who apologized and said she would be happy to help. I explained that I had no luck reaching Chris and I ask if they had someone who could help me. She said yes and told me a lady by the name of Terra would be calling me. At 3:05 pm that day I received an email sending me an NDA and stating that because of Covid 19 they were not allowed to conduct business after 3pm, even though they were all working from home. I found this very odd. I replied back to the email explaining none of this made sense and I could not do business with this type company. Couple of days later I get a phone call from Jim Parker the broker of Boss International telling me he was sorry this happen. After telling him about my experience with Chris Ververis he began to tell me how good Chris was and he would find out why this happen. So I agreed to deal with them one more time. Needless to say since I am leaving a negative review. It did not go well. Spoke to Mr Ververis over the phone and he was very stand offish. Ask for an NDA to take a look at the business for sale and all Chris could say was the business is closed as the hundreds of other businesses on International Drive are currently. Then Chris wants to question my financials. Wanting to see available funds prior to even signing an NDA and putting in a possible offer for the business. This got under my skin since out of all the businesses I have ever bought. I have never been ask for a financial statement prior to submitting a contract and NEVER for buying a business like this one for under 100k. So being a alpha business owner and being offended. I proceeded to tell Chris I can easily afford this business since my daily driver is a 400k 2020 Lamborghini and that I just sold one of my companies for almost 8 figures. I explained to him if we have an accepted contract I would place the funds in to escrow at the time the seller accepted. Chris Ververis no matter what I said and being argumentative was not going to send the NDA or supply me with any information on the business. I then just told him I would speak with his broker Jim Parker and proceed from there. Sent Mr Parker a text message explaining his agent was about to possibly land his brokerage in hot water. All licensed professionals with the Department of Real Estate have a legal and fiduciary responsibility to their seller and potential buyers. Imagine you had a business to sell and a buyer wants to buy it. The brokerage you hire to sell that business does not let you know and you found out about it. Whats your next move? My guess is that the seller has fallen behind in their lease because of Covid 19 and the landlord of the leased space has taken it over. Because of this I believe Chris Ververis is just looking out to protect his commission from the seller and not the sellers best interest. Instead of doing the right thing and allowing someone who can purchase this business and maybe help the seller by ridding him or her of these financial responsibilities they have with this business. On a side not. I did get a call back from Jim Parker Broker. Call lasted less than 15 sec. He was rude and very unprofessional. I have a little saying. Its Hard To Get A Man To Understand Something, When His Paycheck Depends On Him Not Understanding It. I think that statement more than applies to Boss International Business Brokerage.
